1. Acceptance of Terms

By accessing, purchasing, downloading, or using any services, products, or digital goods provided by Speaway ("we", "our", "us"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately cease use of all Speaway services and products.

2. Services and Licensing

• All products and services offered by Speaway are licensed, not sold.
• Usage rights are personal, non-transferable, non-sublicensable, and governed by the Speaway Software License Agreement (SSLA).
• Unauthorized distribution, resale, sublicensing, reverse engineering, or modification of any Speaway product is strictly prohibited.

3. User Obligations

• You agree to comply with all applicable laws when using our services.
• You are responsible for maintaining the confidentiality of your account credentials and activities.
• Misuse of services to damage Speaway's reputation, systems, or products is strictly prohibited.

4. Payments and Refund Policy

• Full payment is required prior to product or service delivery.
• Due to the nature of digital goods, all sales are final and non-refundable, except at Speaway's sole discretion.
• Unauthorized chargebacks or disputes will result in license termination.

5. Intellectual Property

• All software, content, logos, and designs are the exclusive property of Speaway and are protected by copyright and intellectual property laws.
• No rights or ownership in the intellectual property are transferred to you through use of the services.

6. Service Availability and Updates

• Speaway endeavors to provide continuous services but makes no guarantees regarding uptime or data availability.
• Services may be modified, updated, or suspended without prior notice.

7. Prohibited Conduct and Penalties

Any violation of Speaway's Software License Agreement (SSLA) may result in:

• Immediate license termination,
• The application of an Extended License Fee of no less than £10,000 (GBP),
• Additional damage claims,
• Legal action without prior notice.

8. Termination

Speaway reserves the right to suspend or terminate your access to any service at any time for breach of these Terms, SSLA, or misuse.

9. Limitation of Liability

Speaway is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Our total liability shall not exceed the total amount paid by you in the last six (6) months preceding any claim.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and any disputes shall be resolved exclusively in the courts of England and Wales.
